Terms of Service

Welcome to HyperBabel. These Terms of Service ("Terms") govern your access to and use of the HyperBabel API platform, including any software, developer tools, APIs, documentation, and related services (collectively, the "Service") provided by HyperBabel Co., Ltd. ("HyperBabel," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Definitions

  • "Account" means the registered organization account required to access the Service.
  • "API Key" means the authentication credential issued to an Account to authenticate API requests.
  • "Subscription Plan" means the pricing tier selected by an Account — currently Free, Basic, or Scale. Legacy tiers remain in effect for subscriptions created before they were retired.
  • "End User" means any individual who accesses your application that integrates the Service.

2. Account Registration

You must provide accurate and complete information when creating your Account. You are responsible for maintaining the confidentiality of your Account credentials, including API Keys. You agree to notify us immediately of any unauthorized access to your Account.

You must be at least 18 years of age or have the legal authority to enter into agreements on behalf of your organization to use the Service.

3. Permitted Use

Subject to these Terms and your current Subscription Plan limits, you may:

  • Integrate the HyperBabel API into your applications and products.
  • Use the Service for lawful commercial and non-commercial purposes.
  • Access Sandbox Hub features for testing and development.

4. Prohibited Use

You agree not to:

  • Use the Service for any illegal, harmful, or fraudulent purpose.
  • Transmit content that is unlawful, defamatory, obscene, or that violates any third party's rights.
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without our express written consent.
  • Interfere with or disrupt the integrity or performance of the Service or third-party data.
  • Use the Service in applications that facilitate illegal surveillance, discrimination, or human rights violations.

5. Billing and Payment

Certain features of the Service require a paid Subscription Plan. By selecting a paid plan, you authorize HyperBabel to charge the applicable fees to your payment method on a recurring basis for the billing period shown at checkout (currently monthly, via Paddle Billing). Plan fees are quoted exclusive of sales tax; any applicable tax is added at checkout based on your location. All fees are non-refundable except as expressly stated in our Refund Policy.

If payment fails, your account will enter a grace period of up to 7 days. If payment is not resolved within the grace period, your plan may be downgraded to the Free tier.

Overage charges apply on paid Plans when your usage exceeds the allowances included in your Plan. Overage is calculated in whole blocks of the unit published on our Pricing page, rounded up — any part of a block is charged as a full block — and is billed at the end of each billing period. Plans that carry no overage billing (the Free tier) stop at the Plan limit instead of accruing charges.

Each paid Plan also carries a monthly spend limit: a ceiling on the total charges for that billing period, set by default to three times the Plan fee and adjustable by you in the Developer Console. When the limit is reached, new billable sessions — video calls, live streams, speech translation and uploads — are suspended, while sessions already in progress continue uninterrupted. Raising the limit does not by itself create any charge; charges always follow actual usage.

5.1 Declared Video Quality

Video and live-stream sessions are billed by resolution tier. When you create a session through the API, you must declare the resolution tier that matches the video your application actually transmits and receives. Media flows directly between your application and our infrastructure providers, so HyperBabel cannot observe the actual resolution — the declared value is the basis for billing, and declaring it accurately is a contractual obligation.

Note on group calls: providers meter by aggregate received resolution. A multi-party call at the same per-stream resolution can fall into a higher tier than a one-to-one call. Where your Plan permits group calls, you are responsible for declaring the tier that reflects the aggregate.

5.2 Verification and Adjustment

HyperBabel may compare declared tiers against usage records reported by its infrastructure providers. Where the records show usage in a higher tier than declared, HyperBabel may issue an adjustment charge for the difference, calculated as: (rate of the tier actually used − rate of the tier declared) × minutes ÷ 1,000.

HyperBabel will notify you in writing before issuing any adjustment charge. You may dispute the adjustment within 14 days of that notice, and HyperBabel will provide the provider records on which the adjustment is based. Undisputed adjustments are added to your next invoice.

If declared tiers materially understate actual usage on three or more occasions, HyperBabel may require an upgrade to a Plan that includes the tiers in use, or terminate the Subscription under Section 11.

5.3 Concurrent Connections

Concurrent-connection figures stated for each Plan are contractual limits. Where sustained usage exceeds the limit of your Plan, HyperBabel will notify you and may require an upgrade to a Plan with a higher limit. HyperBabel does not charge overage fees on concurrent connections.

5.4 Charges After Cancellation

Usage incurred before your Subscription ends remains payable. Where overage or adjustment charges for a period cannot be collected through the cancelled Subscription, HyperBabel may invoice the amount separately to the payment method on file.

6. Data and Privacy

By using the Service, you agree to our Privacy Policy. We process usage data to provide and improve the Service, ensure compliance with quotas, and generate billing records.

You are responsible for obtaining all necessary consents from your End Users for data processed through the Service, including message content, translation requests, and metadata.

7. Intellectual Property

HyperBabel retains all rights, title, and interest in and to the Service, including all associated intellectual property rights. You may not use HyperBabel's name, logo, or trademarks without prior written consent.

You retain ownership of any content you transmit through the Service. By using the Service, you grant HyperBabel a limited, non-exclusive license to process such content solely to deliver the Service.

8. Service Level and Availability

HyperBabel targets 99.9% monthly uptime on the Scale Plan and 99.5% on the Basic Plan, excluding scheduled maintenance and force majeure events. The Free tier is provided on a best-effort basis with no uptime commitment. Uptime targets, exclusions, support response times and service credits are set out in our SLA. We will notify you in advance of scheduled maintenance where reasonably possible.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HYPERBABEL DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HYPERBABEL'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID TO HYPERBABEL IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

IN NO EVENT SHALL HYPERBABEL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Termination

Either party may terminate these Terms at any time. HyperBabel may suspend or terminate your account if you breach these Terms. Upon termination, your rights to use the Service will immediately cease and your API Keys will be revoked.

12. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email and by posting a notice on our website at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Seoul, South Korea.
